MedClock Affiliate Program Terms & Conditions

These Terms & Conditions govern participation in the MedClock Affiliate Program operated by VEXIAN Pty Ltd (“VEXIAN”, “MedClock”, “we”, “us” or “our”).
By applying for, joining, or participating in the MedClock Affiliate Program, you agree to these Terms & Conditions.
1. Eligibility and approval
Participation in the MedClock Affiliate Program is subject to approval by VEXIAN.
Applicants may be individuals, businesses, organisations, publications, creators, healthcare professionals, community organisations or other approved partners.
Submitting an application does not guarantee acceptance. VEXIAN may accept or decline an application at its discretion.
Affiliate codes and referral links are issued only to approved affiliates.
2. Affiliate codes and referral links
Approved affiliates may receive a unique referral link, discount code, or both.
These are provided for the purpose of referring genuine new customers to MedClock.
Affiliate codes must not be:
- used for the affiliate’s own purchases;
- shared on public coupon, voucher or discount-code websites without prior written approval;
- distributed through misleading, deceptive or spam-based marketing;
- altered, duplicated or misrepresented;
- used in paid advertising that impersonates MedClock or VEXIAN.
VEXIAN may suspend or deactivate an affiliate code or referral link at any time if misuse is suspected.
3. Customer discount
Customers referred through an approved affiliate may receive 5% off the eligible MedClock purchase price, unless otherwise stated.
Discounts:
- apply only to eligible purchases;
- may not be combined with certain other promotions, offers or discount codes;
- may be changed, suspended or withdrawn by VEXIAN.
4. Commission structure
Approved affiliates may earn commission on eligible completed MedClock sales attributed to their unique affiliate code or referral link.
The standard commission structure is:
- Sales 1–9: $10 per eligible sale
- Sales 10–49: $15 per eligible sale
- Sale 50 onwards: $25 per eligible sale
The commission structure is progressive.
This means earlier sales remain payable at the commission rate that applied to those sales. Reaching a higher tier does not retrospectively increase commission on previous sales.
For example:
- sales 1–9 earn $10 each;
- sales 10–49 earn $15 each;
- sale 50 and each eligible sale thereafter earn $25 each.
VEXIAN may offer different commission arrangements to selected affiliates by written agreement.
5. Eligible sales
Commission is payable only on eligible completed sales.
A sale will generally be considered eligible where:
- the customer uses the affiliate’s valid referral link or code;
- payment is successfully received;
- the order is not cancelled;
- the product is not returned or refunded;
- the transaction is not fraudulent;
- the purchase is not a self-referral or otherwise in breach of these Terms.
VEXIAN’s records will determine whether a sale is attributed to an affiliate.
6. Returns, refunds and cancellations
No commission is payable on orders that are cancelled, refunded, charged back, returned or identified as fraudulent.
If commission has already been paid on an order that is later refunded, returned, charged back or found to be ineligible, VEXIAN may:
- deduct that amount from future affiliate commissions; or
- request repayment of the relevant commission.
7. Self-referrals
Affiliates must not use their own affiliate code or referral link to earn commission on purchases made for themselves, members of their household, or entities controlled by them unless VEXIAN provides prior written approval.
VEXIAN may withhold commission where it reasonably believes a transaction was made primarily to obtain affiliate commission.
8. Commission payments
Commission payments will be made in accordance with the payment schedule advised by VEXIAN.
VEXIAN may require affiliates to provide:
- valid contact details;
- payment details;
- an ABN, where applicable;
- tax invoices, where required;
- any other information reasonably required to process payment.
Minimum payment thresholds may apply if advised by VEXIAN.
Affiliates are responsible for ensuring their payment information is accurate and current.
9. Tax obligations
Affiliates are responsible for their own tax obligations arising from affiliate income.
Where GST applies, affiliates are responsible for determining whether they are required to be registered for GST and whether GST must be included in invoices issued to VEXIAN.
VEXIAN does not provide tax advice to affiliates.
10. Marketing and promotional conduct
Affiliates must represent MedClock accurately and honestly.
Affiliates must not:
- make false, misleading or unsubstantiated claims about MedClock;
- represent themselves as an employee, agent or official representative of VEXIAN;
- make medical claims not approved by VEXIAN;
- claim MedClock guarantees a particular medical, health or safety outcome;
- misrepresent pricing, availability, functionality or product capabilities;
- create advertising that could reasonably damage the MedClock or VEXIAN brand.
Affiliates should use current MedClock information and promotional materials where available.
11. Advertising disclosure
Affiliates are responsible for clearly disclosing their commercial relationship with MedClock where required by law, platform rules or advertising standards.
Where an affiliate earns commission from a recommendation, endorsement, article, social media post, newsletter, video or other promotional content, the affiliate should clearly disclose that relationship.
Examples may include wording such as:
“I may earn a commission if you purchase through this link.”
Affiliates are responsible for complying with applicable Australian advertising, consumer protection and platform disclosure requirements.
12. Intellectual property
MedClock, VEXIAN, associated logos, product names, designs, images and other brand assets remain the property of VEXIAN or their respective owners.
Approved affiliates are granted a limited, non-exclusive, revocable right to use approved MedClock marketing materials solely for participation in the Affiliate Program.
Affiliates must not:
- modify MedClock branding in a misleading manner;
- register domain names, social media accounts or business names containing “MedClock” or “VEXIAN” without written approval;
- claim ownership of VEXIAN intellectual property.
13. Paid advertising and search marketing
Affiliates must not bid on or purchase advertising using MedClock, VEXIAN or confusingly similar branded search terms without prior written approval.
Affiliates must not create advertisements that appear to be official MedClock advertisements unless authorised by VEXIAN.
14. Coupon and discount websites
Affiliate codes must not be submitted to public coupon, voucher or discount aggregation websites without prior written approval from VEXIAN.
Commission may be withheld on sales generated through unauthorised coupon-code distribution.
15. Spam and unsolicited communications
Affiliates must comply with applicable laws relating to email, SMS and electronic marketing.
Affiliates must not promote MedClock through spam, purchased mailing lists or unsolicited bulk communications.
16. Relationship between the parties
Participation in the Affiliate Program does not create an employment, partnership, franchise, joint venture or agency relationship between the affiliate and VEXIAN.
Affiliates act as independent participants.
Affiliates have no authority to enter into agreements or make commitments on behalf of VEXIAN.
17. Program changes
VEXIAN may change:
- commission rates;
- tier thresholds;
- discount amounts;
- eligibility requirements;
- payment processes;
- program features;
- these Terms & Conditions.
Where reasonably practicable, material changes will be communicated to active affiliates.
Changes will apply prospectively unless otherwise stated.
18. Suspension and termination
VEXIAN may suspend or terminate an affiliate’s participation where the affiliate:
- breaches these Terms;
- engages in fraudulent or misleading conduct;
- misuses affiliate codes;
- damages the MedClock or VEXIAN brand;
- engages in inappropriate promotional activity;
- fails to comply with applicable law.
Affiliates may stop participating at any time.
Following termination, the affiliate must stop using MedClock affiliate links, codes and restricted marketing materials if requested.
Valid commission earned before termination may still be paid, subject to these Terms.
19. Limitation of liability
To the extent permitted by law, VEXIAN is not liable for indirect, incidental, special or consequential loss arising from participation in the Affiliate Program.
Nothing in these Terms excludes rights that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.
20. No guarantee of earnings
VEXIAN does not guarantee any particular level of sales, commission, income or commercial success through participation in the Affiliate Program.
Affiliate earnings depend on actual eligible sales generated.
21. Privacy
Information provided by affiliates will be handled in accordance with VEXIAN’s privacy practices and applicable privacy laws.
Information may be used to administer the Affiliate Program, process payments, communicate with affiliates and prevent fraud.
22. Governing law
These Terms are governed by the laws of Queensland, Australia.
The parties submit to the jurisdiction of the courts of Queensland and applicable Commonwealth courts.
